Agreement to these terms
These terms govern your access to and use of the ClearRove website at clearrove.com and the ClearRove product at app.clearrove.com (together, the "Service"). By using the Service, or by signing an order or accepting an invoice for it, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.
Early access and changes to the Service
ClearRove is in active development. Features may be added, changed, or removed, and the Service is provided on an as-available basis. We aim to give reasonable notice of material changes that affect how you work, but we do not guarantee that any specific feature will remain available.
Accounts and eligibility
You must be at least 18 years old to use the Service. You agree to provide accurate account information, keep it current, and keep your credentials confidential. You are responsible for activity that occurs under your account and for your workspace members' compliance with these terms. Notify us promptly at security@clearrove.com if you suspect unauthorized access.
Customer data
You retain ownership of the data you and your workspace members submit to the Service, including companies, contacts, deals, notes, activities, and content submitted to Rove ("Customer Data"). You grant ClearRove a limited, non-exclusive license to host, copy, process, transmit, and display Customer Data solely to provide, secure, and support the Service.
You are responsible for collecting Customer Data lawfully, for having the rights and any required notices or consents to process information about the contacts in your CRM, and for the accuracy of what you submit.
Acceptable use
You agree not to: use the Service for any unlawful purpose or in violation of applicable privacy, anti-spam, or export laws; upload malware or attempt to disrupt, probe, or gain unauthorized access to the Service or other customers' data; reverse engineer, decompile, or copy the Service except as permitted by law; resell, sublicense, or provide the Service to third parties except as agreed in writing; or use the Service to unlawfully scrape or misappropriate third-party or competitor data. We may suspend activity that threatens the security or stability of the Service.
Rove AI
Rove produces drafts, summaries, and recommendations using AI models. Outputs can be incomplete, outdated, or wrong. You are responsible for reviewing Rove's output and for confirming material CRM writes before they are applied. Rove is a decision-support tool, not professional advice, and ClearRove is not liable for decisions or communications made in reliance on AI suggestions without human review.
Intellectual property
ClearRove and its licensors own the Service, including its software, design, documentation, trademarks, and all related intellectual property. These terms grant you a right to use the Service, not ownership of it. If you send us feedback, ideas, or feature requests, you grant us a perpetual, royalty-free right to use them to improve the Service, without obligation to you.
Fees and payment
Paid plans are billed at the prices quoted on our pricing page or in your order or invoice, plus any applicable taxes. One-time onboarding fees, where they apply, are payable at kickoff. Fees are non-refundable except where required by law or stated in your order. Early access pricing may change, and we will give notice before a change applies to your next renewal. Late or unpaid amounts may result in suspension.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for material breach of these terms, nonpayment, or activity that creates legal or security risk, generally after notice and an opportunity to cure where practical. On termination, your right to use the Service ends. On request within a reasonable period after termination, we will make your Customer Data available for export before deletion in the ordinary course.
Disclaimers
To the fullest extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that AI output will be accurate.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. ClearRove's total aggregate liability arising out of or relating to the Service will not exceed the greater of the fees you paid to ClearRove in the twelve months before the event giving rise to the claim, or one hundred US dollars ($100) if you use the Service without charge. These limits do not apply to liability that cannot be limited under applicable law, including for fraud or willful misconduct.
Indemnity
You will defend and indemnify ClearRove against third-party claims, losses, and reasonable expenses arising from Customer Data, your use of the Service in violation of these terms or applicable law, or your infringement of a third party's rights.
Governing law and venue
These terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Minnesota have exclusive jurisdiction over disputes arising from these terms, and both parties consent to that venue, except where local law gives you the right to bring a claim elsewhere.
Changes to these terms
We may update these terms as the Service evolves. We will post the updated version on this page with a new date and, for material changes, provide notice through the product or by email. Continued use after an update constitutes acceptance where permitted by law.
